Terms of Service

1. Who we are

ReplyWrench ("we", "us") is a service operated by WAZO LLC, an Arizona limited liability company. Contact: replywrenchhq@gmail.com. These Terms apply when you ("you", the client) use our website, request a free audit, or subscribe to a plan. By subscribing or using the service, you agree to these Terms.

2. The service

• We write replies to the Google reviews on the Google Business Profile(s) you tell us to manage and post them on your behalf. Depending on your plan, we also help maintain the profile (for example updates, photos you supply, and business details).
• Owner approval for 1–3★ reviews: we send you replies to 1, 2 and 3-star reviews for approval and post them only after you approve. Replies to 4 and 5-star reviews may be posted without prior approval. You can ask us to send every reply for approval, or to edit or remove any reply we posted.
• We don't guarantee any particular rating, ranking, review volume, number of leads or other business result. Google controls its platform and may change features, hide content, or limit access at any time. We're not affiliated with Google LLC.
• The free audit is a one-time summary based on public information on your profile. It's provided as is, with no obligation to buy.

3. Your profile and access

• You keep full ownership and control of your Google Business Profile and its content. We never ask to become the profile's owner.
• You give us access by adding us as a manager on the profile. You can remove our access anytime in your Google Business Profile settings, with or without notice. If you remove access, we can't keep providing the service, but your plan stays active until you cancel it.
• You confirm that you are authorized to manage the profile(s) you give us and to have replies posted for that business.
• You're responsible for the accuracy of business information you give us. Tell us promptly about anything we shouldn't say in a reply (for example, details of an ongoing dispute).

4. Rules we follow and you agree to

We follow Google's policies for reviews and Business Profiles. We won't write fake reviews, offer incentives for reviews, ask customers to change or remove reviews, or share customers' private details in replies. You agree not to ask us to do any of that. We may decline to post a reply we believe would break Google's policies or the law.

5. Plans, billing and the free trial

• Plans: Reply, $79/month and Active Profile, $149/month, for one location. Each additional location is $49/month. Prices are in US dollars and exclude any applicable taxes.
• New subscriptions start with a 14-day free trial. If you cancel before the trial ends, you won't be charged.
• No-card trials: if you request a trial without a card through our "Talk to us" form, it also runs 14 days and nothing is billed. Near the end of the trial we send you a Stripe payment link. Nothing is charged unless you choose to subscribe through it.
• If you don't cancel, your card is charged when the trial ends and then every month on the same date until you cancel. Plans are month to month with no long-term contract.
• Payments are processed by Stripe. We don't see or store your full card number.
• If a payment fails, we may pause the service until it's resolved.
• We may change prices with at least 30 days' email notice. A change applies from your next billing period after the notice period ends, and you can cancel before it takes effect.

6. Cancellation and refunds

• You can cancel anytime by emailing replywrenchhq@gmail.com or through the Stripe billing link we provide, if one is available to you.
• Cancellation stops future charges. The service continues until the end of the month you've already paid for.
• No refunds for partial months after the trial. We don't refund the current month when you cancel partway through it.
• After you cancel, remove us as a manager on your profile (or ask us to remove ourselves). Replies already posted stay on your profile unless you delete them.

7. Ending the service from our side

We may suspend or end the service if you break these Terms, don't pay, or ask us to do something we believe breaks Google's policies or the law. If we end the service without a reason on your side, we'll refund any prepaid amount for the time we won't serve.

8. Content

Once posted, the replies we write for you are yours to keep, edit or delete. You give us permission to use your business name, profile information and reviews only to provide the service. We won't use your name or reviews in our marketing without your written permission.

9. Disclaimer

To the extent the law allows, the service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose. We'll use reasonable care, but we don't promise the service will be uninterrupted or error-free.

10. Limitation of liability

To the extent the law allows: (a) neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or business, even if warned they could happen; and (b) our total liability for any claim relating to the service is limited to the amount you paid us in the 3 months before the event that caused the claim. Nothing in these Terms limits liability that can't be limited by law.

11. Indemnity

You'll cover reasonable costs and losses we incur from a third-party claim caused by information you gave us that was false, or by your instructions that broke the law or Google's policies.

12. Governing law

These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Maricopa County, Arizona, and both parties agree to those courts' jurisdiction. Before going to court, we both agree to try to resolve the issue informally by email for at least 30 days.

13. Changes to these Terms

We may update these Terms. We'll change the "Last updated" date and, for changes that materially affect current clients, email you at least 30 days before they take effect. If you keep using the service after that, the new Terms apply. If you don't agree, you can cancel.

14. Other

These Terms, together with our Privacy Policy, are the whole agreement between us about the service. If any part is found unenforceable, the rest still applies. Not enforcing a term isn't a waiver of it. You can't transfer these Terms without our consent. We may transfer them as part of a sale or reorganization of the business.
